Pancho, Inc.'s trademarks and service marks, including, without limitation, "Pancho," may not be used or associated with any of Licensee's websites, applications, or other content created using our hosting services or site builder without Pancho, Inc.'s written consent; provided, Pancho, Inc. may require appropriate and fair attribution by display of said marks in, on, or around such products with written notice to Licensee.

SUBSCRIPTION BILLING

Use of our shared hosting services and site builder is provided to Licensee by subscription. Your subscription is effective for the period covered by your subscription fee (which is your Purchase Price) as disclosed in the enrollment process and continues upon your payment in advance of the renewal fee for the applicable period (e.g., monthly, half-yearly, or annually). Renewal fees for your subscription will automatically be charged at the then-current rate to the credit card or other billing source authorized by you on the first day of each successive subscription term until you cancel your subscription. Renewal will occur without prior notice to you. Should you choose to discontinue your subscription for any reason before expiration of the then-applicable subscription term for which you have paid, you may cancel your subscription and terminate further billing by logging in to your account and changing your settings under the "My Account" page. Access to your hosting account and website(s) will be suspended upon cancellation of your paid plan. All content included or made available through any Pancho, Inc. service or platform, such as the site builder, templates, themes, plugins, and other digital assets is the property of Pancho, Inc. or its content suppliers and is protected by United States and international copyright laws. Pancho, Inc. reserves the right to change the subscription fee for any renewal term to be effective upon the renewal of your subscription for the next applicable period.

TRIALS AND PROMOTIONS

Any free trial or other promotion that provides access to our hosting services must be used within the specified time of the trial. You will be asked for valid credit card information when you sign up for the discount or free trial. We will use the payment information for future subscription fees should you fail to terminate the subscription within the time frame provided. We will start your trial upon completion of your trial signup. You may cancel your trial subscription without charge at any time within 7 days of placing your order. If you do not cancel your free or trial subscription within 7 days of the date you start your trial, your subscription will continue automatically and the monthly fee will be billed to the credit card or other billing source provided by you when you signed up for the free trial or discounted plan, on the first day of each successive subscription term. Such billing will occur without further notice to you. You must cancel your subscription before the end of the free trial or discounted price period in order to avoid being charged a subscription fee.

NO REFUNDS

The Purchase Price, including, without limitation, subscription or enrollment fees, are non-refundable. This includes any payments for hosting services, domain registrations, SSL certificates, and paid support services.

TERMINATION

Pancho, Inc. reserves the right to terminate a Licensee's access to the hosting services without notice at any time if it determines in its sole discretion that a Licensee is violating any of the terms and conditions of this Agreement, including but not limited to: excessive resource usage, hosting illegal content, sending spam, or engaging in activities that disrupt service for other customers. Pancho, Inc. also reserves the right for any reason or no reason to refuse to renew a subscription with or without prior notice.

USER RESPONSIBILITIES

Users are solely responsible for all content, applications, and websites they create and host using our services. This includes but is not limited to: ensuring compliance with all applicable laws and regulations, maintaining appropriate security measures, creating backups of their data, and managing all aspects of their website's functionality and appearance. Pancho, Inc. is not responsible for any damages, losses, or liabilities arising from user-created content or websites. Users are expected to implement their own security measures to protect their websites from unauthorized access, malware, and other threats.

SUPPORT SERVICES

Pancho, Inc. provides support for infrastructure-related issues only, including server uptime, network connectivity, and core hosting platform functionality. Support for user websites, including but not limited to: site builder assistance, website customization, content management, plugin configuration, and troubleshooting website-specific issues is available only through our paid support plans. Users may purchase site support services at additional cost as needed. Response times and support availability are subject to the specific support plan purchased. Pancho, Inc. reserves the right to determine whether an issue falls under infrastructure support or site-specific support at its sole discretion.

RESOURCE USAGE

As a shared hosting provider, Pancho, Inc. implements resource limitations to ensure fair usage across all customers. These limitations include but are not limited to: CPU usage, memory allocation, storage space, bandwidth, and database connections. Excessive resource usage that negatively impacts other customers may result in temporary service throttling or suspension. Pancho, Inc. reserves the right to require customers with high resource needs to upgrade to more appropriate plans designed for their usage patterns.

LIABILITY

In no event shall Pancho, Inc. be liable to Licensee for any special, indirect, consequential, punitive, or incidental damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information, data loss, or any other pecuniary loss) arising out of the use of or inability to use our hosting services or site builder. The foregoing limitations and exclusions apply to the extent permitted by applicable law. Further, in any event Pancho, Inc.'s aggregate liability in connection with this Agreement and Licensee's use of our services shall be strictly limited to the Purchase Price paid for the current subscription term.

INDEMNIFICATION

Licensee indemnifies and holds Pancho, Inc. harmless from and against any damages or liability of any kind arising from Licensee's use of our hosting services, any breach of the terms and conditions of this Agreement, or Licensee's negligent acts, omissions or willful misconduct or that of its contractors, employees, employers, agents, licensees, or invitees. This includes any claims, damages, or legal actions arising from content hosted on Licensee's website(s). All license rights granted pursuant to this Agreement shall automatically terminate upon your breach of this Agreement.

ACCEPTABLE USE

Licensee agrees not to use Pancho, Inc.'s hosting services to: (a) violate any applicable laws or regulations; (b) infringe the intellectual property rights of others; (c) distribute malware, viruses, or other harmful code; (d) send unsolicited bulk emails (spam); (e) host content that is defamatory, obscene, or threatening; (f) attempt to gain unauthorized access to other systems or networks; or (g) engage in any activity that unreasonably interferes with other customers' use of our services. Pancho, Inc. reserves the right to remove any content or suspend any account that violates these acceptable use policies.

BACKUPS AND DATA LOSS

While Pancho, Inc. may perform routine backups of server data, these backups are for disaster recovery purposes only and are not guaranteed. Licensee is solely responsible for maintaining their own regular backups of their website content, databases, emails, and other data. Pancho, Inc. is not liable for any data loss, regardless of cause, including but not limited to: hardware failure, software issues, human error, or malicious activity. Paid backup services may be available as an additional service.

GRANT OF LICENSE

Subject to the terms and conditions of this Agreement and payment of the Purchase Price with an active subscription, Pancho, Inc. hereby grants the Licensee a non-exclusive, non-transferable license to use our hosting services and site builder for the purpose of creating and maintaining websites. All rights not specifically granted herein are retained by Pancho, Inc.
